About the roleiCapital is hiring a Vice President / Senior Vice President, Fund Attorney, EMEA to join its International Legal Team. The focus will include representing private funds sponsored in EMEA (predominantly Luxembourg- and Cayman-domiciled funds) on a wide spectrum of matters including fund formation, marketing, structuring and distribution matters. The ideal candidate should have strong experience in both drafting and negotiating fund documents, side letters, placement agreements and related fund materials for both unregulated and regulated fund structures, and have the capability of workshopping and ultimately launching new fund structures and strategic initiatives at iCapital. The candidate will work closely with the broader International Legal team, as well as the Client Solutions, Product Development and Structuring, Regulatory & Compliance and other operational teams at iCapital. This is a unique opportunity to work with a dynamic team and meaningfully contribute to the expansion of a growing business.The role can be based in iCapital's offices in London, Zurich, or Lisbon.Responsibilities
Negotiate various agreements with counterparties including many of the world's largest and most sophisticated fund managers and leading distribution agents
Draft and review private fund offering materials, partnership agreements and related private fund legal documentation
Advise on the legal implications of offering new and existing products and services across jurisdictions
Coordinate with outside legal counsel with respect to a variety of issues including regulatory, corporate and fund investment work
Work on general corporate matters and a broad range of commercial contracts
Engage in, solution and execute on new initiatives, structures and business lines as the company grows and evolves
Drive legal projects with on-time and on-budget results
Candidate Profile
Desire to work at a high-growth company in a fast-paced environment, reshaping the alternative investment ecosystem
6-7+ PQE of fund formation experience within the Investment Management space (Private Equity and Hedge Fund)
Strong knowledge of Luxembourg corporate structures and regulatory matters
Knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and FINRA regulations is a plus
Qualified in the U.K., a member in good standing of the New York bar, or qualified in another jurisdiction
Knowledge of fund and cross-border regulations is a plus
Law firm or in-house experience at an asset management firm is a plus
Excellent interpersonal and leadership skills
Willingness to learn new topics and work in an evolving business environment
High level of integrity
A proactive attitude and ability to work cross-functionally an ability to think through complex concepts and tackle them in an organized and efficient manner.
